Spencer Park is special counsel in the Seoul office of Milbank LLP and a member of the firm’s Global Corporate Group.

Primary Focus & Experience

Mr. Park regularly represents investment and private equity funds, multinational corporations and financial institutions in connection with investments, mergers and acquisitions, joint ventures and dispositions as well as real estate and debt financings. His experience spans a wide variety of sectors, including technology, data centers, renewable energy, logistics and real estate.

Mr. Park’s recent experience includes advising on the following transactions:

  • Hana Alternative Asset Management Co., Ltd. on the US$300 million acquisition and financing of an office building located at 70 Hudson Street, Jersey City, New Jersey from a joint venture between PFA Pension and Spear Street Capital.
  • Mirae Asset Securities (Hong Kong) Limited, as lead lender in the lender consortium, in the repayment of an $100 million acquisition financing to special purpose entity sponsored by Barings Private Equity.
  • A Singapore-based pan-Asian e-commerce company in its acquisitions of two separate Korean online shopping platforms.
  • A Singapore-based internet logistics company in its investment in a Japanese “last mile” delivery company.
  • Oaktree Capital Management in its joint venture with IPI Partners and STACK Partners to develop a hyperscale data center in suburban Tokyo.
  • SK ecoplant Co., Ltd., a major construction company, on its US$1 billion acquisition of a 100% stake in Singapore-based eWaste and IT asset disposal services firm TES Envirocorp Pte. Ltd. from Navis Capital Partners.

Mergers and Acquisitions / Private Equity

  • SK hynix with respect to its convertible bond investment in Kioxia Corporation (formerly the semiconductor business of Toshiba Corporation) in Japan.
  • SK telecom in its establishment of the US operations of SAPEON Inc.
  • A leading Korean conglomerate in its US$200 million minority investment in a US pharmaceutical company focusing on targeted protein degradation therapeutics.
  • SK Holdings Co., Ltd. in its US$300 million investment in Chindata Group Holdings Limited, a data center operator.
  • One of the world’s largest memory chipmakers in its investment in a US-based developer of memory-converged infrastructure (MCI) systems.
  • The holding company of a South Korean energy and telecoms conglomerate in its role as the lead investor in Series E funding round of a California-based fabless semiconductor company.
  • A South Korean asset manager in its Series N investment in a US-based aerospace manufacturer and space transportation services company.
  • A leading Korean conglomerate in its establishment and formation of an overseas renewable energy focused infrastructure fund.
  • A Hong Kong venture capital firm in its seed funding to an Australian biotech company.
  • Fortune Group Holdings Limited, wholly owned by Chatchaval Jiaravanon, on the purchase of FORTUNE media brand for US$150 million from Meredith Corporation Limited.
  • SK Inc. in its acquisition of a minority stake in Monolith Materials, Inc., a US-based leader in green hydrogen technologies.
  • SK Geo Centric Co., Ltd. in connection with the acquisition of common stock and warrants exercisable for common stock of PureCycle Technologies, Inc., a Nasdaq listed plastic recycling company.
  • SK Inc. in connection with its US$100 million investment in 8 Rivers Capital, LLC, a developer of decarbonization technologies based in North Carolina.
  • SK Siltron Co., Ltd. in its US$450 million acquisition of DuPont's Silicon Carbide (SiC) Wafer business in the US.

Real Estate

  • Hana Alternative Asset Management Co., Ltd. on the US$201 million acquisition and financing of an office building located at 300 South Brevard Street, Charlotte, North Carolina from Stream Realty Partners.
  • A multinational securities company in its investment and development of a data center platform in Korea.
  • A Korean asset manager in an acquisition and financing of a student housing in Dusseldorf, Germany.
  • The founders of a leading logistics asset management and investment platform based in Korea in its joint venture and shareholding restructuring with it major shareholders. 
  • The former senior management of a prominent US data center company in the establishment and formation of a pan-Asia data center investment and development platform.
  • A securities company and asset manager in connection with an offshore financing of a proposed commercial retail property in Ho Chi Minh City, Vietnam.
  • A consortium of Korean investors in the offshore mezzanine financing of a commercial multi-use real estate development in Ho Chi Minh City, Vietnam.

Prior to joining Milbank, Mr. Park was counsel in the Hong Kong office of a highly respected international law firm, and a Partner in the Hong Kong office of a leading Korea-based law firm.  He has also served as general counsel to Apollo Global Management, LLC for its Asia-Pacific operations.

Mr. Park is frequently sought out by leading legal industry, trade and business publications to provide his insights on international investment fund and private equity matters in Asia.

Mr. Park is fluent in English, Korean and Japanese and is conversant in German.
