As an associate in the Corporate Group, Gemma specialises in complex transactional mandates and has advised corporate clients and financial sponsors on cross-border and domestic mergers and acquisitions, private equity, divestitures, joint ventures as well as reorganisations.

Gemma’s experience spans a wide range of sectors including infrastructure and energy, aviation and technology. 

Primary Focus & Experience

  • Public Power Corporation S.A. in connection with its acquisition of all of the equity interests held by Enel S.p.A. and its subsidiaries in Romania for a total consideration of approximately €1,260 million.
  • Italgas S.p.A. on its €733 million acquisition of DEPA Infrastructure S.A. as part of a transformational privatisation in the Greek energy sector.
  • BlackRock and KKR on their landmark partnership with Abu Dhabi National Oil Company (ADNOC) through the purchase of a 40% interest in ADNOC’s oil pipeline assets in Abu Dhabi, and related joint venture arrangements.
  • Avianca Airlines, the second-largest airline group in Latin America, in its chapter 11 reorganization and related governance and equity arrangements.
  • Abra Group Limited in the creation of a leading air transportation group across Latin America and related governance arrangements.
  • National Bank of Greece on its disposal of a 100% stake in a Cypriot credit acquiring company (CAC Coral) to Bain Capital Credit.
  • Summit Partners LLP in connection with its minority investment in TradingHub, a leading provider of sophisticated risk-based software solutions for financial markets.
  • Njord Partners on the creation of a joint venture with an UHNWI to acquire a Portuguese airline and accept the contribution of other aircraft assets.
  • SAZKA Group on its offer to acquire OPAP (Greece’s largest gaming company) for a valuation in excess of €3 billion.
  • ProSiebenSat.1 on its digital content joint venture arrangements.
  • Signifier Medical Technologies, a venture capital company, on multiple fundraises.
