Primary Focus & Experience
Fernando’s experience stems from representing issuers and underwriters in securities transactions, including IPOs, stock offerings, and debt offerings in public markets in both Brazil and the US; counseling clients on corporate governance and how to comply with securities regulations, including the ’33 Act, the ’34 Act, and Sarbanes-Oxley.
He has also obtained experience in performing due diligence, draft of documents, interactions with the SEC, and offerings negotiation. Drafting and revision of Placement Facilitation Agreements, Purchase Agreements, Indentures, Offering Memorandums, Due Diligence Questionnaires, Comfort documents, among others.
