Dana Zelman is special counsel in the Washington, DC office of Milbank and a member of the firm’s Transportation and Space Group.

Primary Focus & Experience

Ms. Zelman works on regulatory, transactional, and national security matters. She is experienced in representing clients in front of the Committee on Foreign Investment in the United States (CFIUS), “Team Telecom” executive branch agencies and the Defense Counterintelligence and Security Agency (DCSA), including the drafting and filings of notices and declarations, meeting with US government officials, and structuring, negotiating and implementing national security agreements.

Ms. Zelman also assists domestic and international telecommunications providers and investment funds in securing federal and state regulatory approvals for mergers and acquisitions, and provides advice on other national security, information security, public safety and communications matters.

She regularly reviews partnership and fund agreements for CFIUS compliance on behalf of sovereign wealth fund clients and institutional investor clients, as well as reviewing company policies on network security and global trade compliance, among other topics for US and global clients.

Select representations that Ms. Zelman has advised on, including at prior firms, include:

  • Securing federal regulatory and national security approvals for the merger of two of the largest mobile network operators in the United States (T-Mobile and Sprint)
  • Securing CFIUS approvals for multibillion dollar transactions in a wide variety of industries, including telecommunications, shipping and logistics, software development and digital transformation, clean energy, and LNG pipeline development, among others
  • Advising clients on the implementation and administration of mitigation agreements
  • Assisting the Puerto Rican subsidiary of a large Mexican telecommunications provider with obtaining national security approval and negotiating a new agreement with the Department of Justice in connection with its restructuring
  • Advising an Australian investment fund in obtaining US regulatory and national security approval for an investment in a submarine cable
  • Advising major US and international telecommunications providers on proposed investments in the United States and on global telecom and technology product and service roll out
  • Advocating for CFIUS rule changes in front of the Treasury Department on behalf of large Australian institutional investors

Recognition & Accomplishments

Ms. Zelman earned her J.D. from the University of Georgia, and she received her B.A., summa cum laude, and her A.B.J., summa cum laude, from the University of Georgia.
