Milbank Represents Lead Arrangers in American Securities’ Acquisition of MW Industries

Milbank, Tweed, Hadley & McCloy LLP represented Royal Bank of Canada, Citibank, Antares Capital, Jefferies Finance and Citizens Bank as joint lead arrangers and joint bookrunners for the senior secured first lien and second lien credit facilities in connection with American Securities’ acquisition of MW Industries, a leading provider of highly engineered springs, specialty fasteners, machined parts, and other precision components. 

The facilities were supported by a US collateral and guarantee package and consisted of a $385 million senior secured first lien term loan facility, a $70 million senior secured first lien revolving facility and a $120 million senior secured second lien term loan facility.

The Milbank Global Leveraged Finance team was led by partner Marcus Dougherty and special counsel Meir Hornung and included associates Michael Volodarsky and Allison Cho.
