Charles J. Conroy is a senior consulting partner of Milbank and a member of the firm’s Corporate Group in New York.  Recognized as one of New York’s most experienced corporate practitioners, Mr. Conroy specializes in mergers and acquisitions (both domestic and cross-border), private equity investments, joint ventures, corporate governance and board advisory matters.

Primary Focus & Experience

Mr. Conroy typically works directly with the General Counsel, Board of Directors or CEO of our clients.  With his extensive experience in corporate and securities transactions, he has been involved in both friendly and contentious matters, advising both US and foreign companies with respect to their mergers, acquisitions, restructurings and joint ventures.  Recent transactions have focused on the energy, chemical, technology and financial institution sectors.

Representative Experience

  • Advising Nabors Industries on its acquisition of TESCO Corporation.
  • Advising ITOCHU Corporation, as part of the investor group that acquired Samson Investment Company for $7.2 billion, one of the largest US private equity transactions.
  • Advising Towers Perrin in its $3.5 billion “merger of equals” with Watson Wyatt Worldwide, Inc. through a stock-for-stock merger in a double dummy structure.
  • Advising Nabors Industries with respect to a joint venture with the Saudi-Aramco Corporation.
  • Advising Nabors Industries in the $1.4 billion spinoff and merger with C&J Energy Services.
  • Advising Nabors Industries in its $1 billion merger and acquisition of Superior Wells Services.
  • Advising the W.P. Carey Estate in its sell-down of W.P. Carey stock.
  • Advising Towers Perrin with respect to its spinoff and joint venture with EDS and the Excellerate HRO.
  • Represented the mezzanine lender in its equity co-investment with PE sponsor in the buyout of a Canadian manufacturer.
  • Represented US specialty chemicals manufacturer against its former PRC distributor for misappropriation of trade secrets.
  • Represented Konica Minolta in its acquisition of Danka Business Systems.
  • Represented the Fubon Group in its joint venture with Citigroup with regard to an investment in Fubon Insurance Co., Fubon Commercial Bank, Fubon Securities Co., Fubon Life Insurance and Fubon Asset Management.

Recognition & Accomplishments

Mr. Conroy has written and spoken widely on corporate and securities transactions.  His writings have appeared in the New York Law Journal, The International Financial Law Review, The National Law Journal and the Stanford Journal of International Law.  While at Columbia Law School, Mr. Conroy was the writing and research editor of the Columbia Journal of Transnational Law.  Mr. Conroy was recently named to the “BTI Client Service All-Star Team,” an exclusive list of individuals nominated and recognized by clients for superior client service. He is also recognized in The Legal 500 for his M&A work.

Mr. Conroy spent the early years of his career in New York, Hong Kong and Beijing. While practicing in Beijing, he taught at the Beijing Institute of Foreign Trade for a year.  Upon his return to the United States in 1987, he also taught a course on Chinese commercial law at Columbia Law School for four years.

He has served on the Board of the National Committee on US-China Relations and is a member of the New York State Bar and the American Bar Association.  Mr. Conroy is also a member of the City Bar Association of New York and has served on its sub-committee on Asian Affairs.
