Joshua Forman

Primary Focus & Experience

Mr. Forman represents financial institutions, private credit and institutional investors, private equity sponsors and their portfolio companies, aircraft leasing companies, alternative lenders, AI cloud operators and airlines in asset-based and structured financings of high-value equipment, including commercial aircraft and engines, compute (including GPUs and TPUs) and other AI accelerators, and in fund finance transactions. He advises on transactions throughout the capital structure, from warehouse and secured facilities through rated asset-backed securities, enhanced equipment trust certificates and platform-level capital solutions, as well as related portfolio acquisitions, dispositions and restructurings.

His recent representations include:

• securitizations of aircraft- and engine-secured loans, in which he has represented both issuers and underwriters, and aircraft lease ABS;
• underwriters in offerings of enhanced equipment trust certificates (EETCs) and equipment notes;
• the design and implementation of aircraft finance and leasing platforms for leasing companies, private equity sponsors and alternative lenders, including warehouse facilities and portfolio acquisitions;
• financings of the compute equipment deployed in data centers, for both capital providers and borrowers, including platform-level capital solutions sponsored by semiconductor suppliers and equipment lease and secured financings for AI cloud operators;
• digital infrastructure transactions, including wireless spectrum acquisitions and financings; and
• lenders in subscription, NAV and hybrid facilities for business development companies, interval funds and other private credit vehicles, and in financings for asset managers.

Recognition & Accomplishments

Mr. Forman earned his J.D. from Georgetown Law School, magna cum laude, and received his B.A. from Duke University.
