Dean W. Sattler is a partner based in New York and the Practice Group Leader of the Firm’s U.S. Global Corporate/M&A practice.

Primary Focus & Experience
Mr. Sattler regularly represents acquirors, buyout groups, sellers, targets, investors, boards of directors, special committees and investment banks in complex domestic and cross-border mergers and acquisitions, joint ventures, minority investments and other corporate, financing and business combination transactions. Mr. Sattler’s clients include public and private companies, private equity firms, asset managers, pensions and hedge funds, and span a broad range of industries, including energy and infrastructure, industrials and manufacturing, aviation and aerospace, space and satellite, telecommunications, technology, banking and finance.
Mr. Sattler was recently recognized as the 2019 “Industrials & Infrastructure Dealmaker of the Year” by The Deal.
Mr. Sattler is also actively involved in Milbank’s Corporate Governance Group, where he advises boards of directors and members of management on a wide variety of corporate governance and compliance matters and is the author or co-author of numerous articles and publications.

QIC Global Infrastructure in its multiple equity investments in Generate Capital, a leading sustainable infrastructure platform.
- Lead counsel in joint sale by OMERS and Enagás of their combined 80% interest in GNLQ, an LNG terminal and liquefaction facility, to EIG and Fluxys.
- New Fortress Energy Inc. and Eletricidade do Brasil S.A. in its sale of LNG-to-power facilities to Eneva S.A. for approximately US $1.29 billion.
- Saavi Energía, a portfolio company of Global Infrastructure Partners, in the acquisition of the Tierra Mojada combined cycle power plant in Jalisco, Mexico from Fisterra and Blackstone.
- The Carlyle Group, through its aviation investment arm, Carlyle Aviation Partners and certain of its managed funds, in its take private acquisition of Fly Leasing Limited (NYSE: FLY) in a transaction valued at approximately $2.36 billion.
- A consortium of investors led by Apollo Global Management in connection with the long-term strategic investment with The Abu Dhabi National Oil Company (“ADNOC”) in a real estate portfolio valued at $5.5 billion.
- Apollo Global Management in connection with Apollo’s acquisition of GE’s approximately US$1 billion portfolio of renewable energy, contracted natural gas fired generation and midstream energy infrastructure assets.
- Global Power Synergy Public in its investment in 24M Technologies, Inc to help reduce the renewable energy gap with the SemiSolid battery production technology developed by 24M Technologies.
- Apollo Global Management and Athene Holding in the $4 billion acquisition of PK AirFinance from GE Capital Aviation Services. This deal was named “Overall Deal of the Year” and “Bank Loan Deal of the Year” at Airfinance Journal’s 2019 Global Awards. Also named “Aviation 100 Overall Deal of the Year” and “Americas M&A Deal of the Year” by Airline Economics in 2019.
- Mangata Networks, a satellite-enabled network services company on a mission to transform the way the world interacts with information, on its Series A financing, led by Playground Ventures and numerous other strategic and industry focused investors.
- M&G Investments on its $300 million equity investment in a new aircraft leasing fund serviced by aviation asset manager SKY Leasing, as well as on M&G’s acquisition of a strategic ownership interest in SKY Leasing.
- Raymond James in connection with the approximately $15.3 billion acquisition of autonomous vehicle company Mobileye by Intel.
- Ares Management, L.P. in its acquisition of a 50% stake in Linden Cogen Holdings, LLC, the owner of a 943-MW natural gas-fired combined-cycle cogeneration project, located in Linden, New Jersey, from a subsidiary of GE Energy Financial Services.
- Goshawk Aviation in its approximately US$3 billion acquisition of Sky Leasing, consisting of 51 young life aircraft and associated business functions.
- Altavair AirFinance, a leader in commercial aviation finance, on its over US$1 billion agreement to form a long-term partnership with leading global investment firm KKR & Co.
- Apollo Aviation Group, a global commercial aviation investment and servicing firm with US$5.6 billion in assets under management, in its acquisition by The Carlyle Group.
- Terra Firma in the sale of AWAS, a Dublin-based aircraft lessor and one of the world’s leading aircraft leasing companies with 87 airline customers in more than 45 countries and owned aircraft assets of c. US$7.5 billion, alongside its co-investor Canada Pension Plan Investment Board (CPPIB), to Dubai Aerospace Enterprise.
Recognition & Accomplishments
Mr. Sattler was recently recognized as the 2019 “Industrials & Infrastructure Dealmaker of the Year” by The Deal magazine. The award honored the leading lawyers, bankers, investors and advisers in middle market industrials and infrastructure transactions. Mr. Sattler graduated with honors from the Elisabeth Haub School of Law at Pace University, where he was editor-in-chief of the Pace Law Review. During law school, Mr. Sattler interned for the Honorable Barbara S. Jones of the US District Court, Southern District of New York. Mr. Sattler holds a B.A. from College of the Holy Cross.
