Milbank Honored for Work on Distressed M&A Deals

Milbank, Tweed, Hadley & McCloy LLP has been recognized with two Deal of the Year awards which will be presented at the 10th Annual M&A Advisor Turnaround Awards gala, honoring the best of the distressed investing and reorganization industry in 2015. Milbank provided counsel for the following award-winning deals:

  • Restructuring of ITR Concession Co. LLC (Indiana Toll Road) and Sale to IFM Investors – Distressed M&A Deal of the Year (Over $1B)
  • Sale of Frederick’s of Hollywood to Authentic Brands Group – Distressed M&A Deal of the Year (Between $10MM and $25MM)

Milbank represented lingerie chain Frederick’s of Hollywood, including its affiliates and subsidiaries (“Frederick’s”), in connection with their chapter 11 bankruptcy cases. Frederick’s commenced its chapter 11 cases to effectuate a sale of substantially all of its assets to Authentic Brands Group, LLC (“ABG”), subject to higher or better offers received in connection with the proposed sale process. Frederick’s ultimately sold its e-commerce business and inventory to ABG in exchange for $20,050,000 plus amounts to be paid to Frederick’s pursuant to the terms of a Revenue Sharing Agreement.

Milbank represented the Committee of Secured Creditors in connection with the reorganization, bankruptcy, and sale to IFM Investors for $5.75 billion of ITR Concession Company LLC, the holder of the concession to operate the Indiana Toll Road.
