Milbank Closes 30+ Corporate Finance and Securities Transactions in Q1 2024

Milbank LLP’s New York-based Corporate Finance and Securities team closed over 30 equity capital markets, debt capital markets and financing transactions in the first quarter of 2024. Transactions spanned a range of industries, including telecommunications, aerospace, technology, renewable energy, oil and gas, financial services, transportation and logistics, insurance, hospitality, biotechnology and infrastructure.

Notable transactions from the quarter include representing:

  • The initial purchasers in connection with Amwins Group, Inc.’s offering of $750 million of senior secured notes. The notes are secured by certain subsidiaries that also collateralize Amwins’ credit facilities.
  • The underwriters in connection with AST SpaceMobile, Inc.’s public offering of $100 million of its Class A common stock.
  • The initial purchasers in connection with two series of notes issuances by Banco de Crédito del Perú valued at $811 million.
  • The underwriters in connection with Brookfield Renewable Partners L.P.’s offering of $150 million 7.250% green perpetual subordinated notes. Net proceeds of the offering are to be allocated entirely to renewable energy investments.
  • The dealer managers and underwriters in Ecopetrol S.A.’s $1.85 billion offering of the 12-year 8.375% notes due 2036 and tender offer to purchase for cash any and all of Ecopetrol’s $1.2 billion 4.125% notes due 2025.
  • Export Development Canada in connection with the issuance of $3.5 billion of 4.125% bonds due 2029.
  • The initial purchasers in connection with Medline Industries, L.P.’s issuance of $1 billion 6.25% senior secured notes due 2029.
  • The underwriters in connection with Verizon Communications, Inc.’s sixth $1 billion green bond offering. Net proceeds of the issuance are to be allocated entirely to renewable energy investments.
  • The initial purchasers in connection with the offering by YPF S.A. of US $800 million aggregate principal amount of 9.500% senior secured notes due 2031.
