Antonio L. Diaz-Albertini is a member of the firm’s Corporate Finance and Securities Group and the Global Private Equity Group. He has extensive experience representing private equity firms and their portfolio companies, investment banks, public companies and debt investors in a wide range of financing and securities transactions.

Primary Focus & Experience

Mr. Diaz-Albertini’s practice focuses on complex finance and capital markets transactions, including leveraged sponsor buyouts, acquisition financings, the issuance of secured and unsecured high-yield debt securities, initial public offerings and follow-on equity offerings, and liability management transactions.  He has represented clients in finance and capital markets transactions across a variety of industries including retail, financial services, technology, natural resources, pharmaceuticals, gaming, and telecommunications. His experience includes the representation of:

  • One of the largest food and drug retailers in the United States, on its initial public offering and in connection with its credit facilities, senior notes offerings and debt tender offers
  • A leading private investment firm in connection with the financing of its multi-billion dollar acquisition of the US state and local health and human services business of a technology solutions provider
  • A leading private equity sponsor in connection with the financing for its multi-billion dollar acquisition of a federal IT and mission support services business of a global aerospace and defense technology company
  • A leading private equity sponsor and its portfolio company in connection with the financing for its acquisition of a world leading technology-based learning solutions
  • One of the largest pure-play providers of integrated well completion services in the United States on its initial public offering, follow-on secondary equity offerings, and its subsequent all stock merger of equals with a US oil and energy company, to create a leading oilfield services provider
  • A leading private equity sponsor in connection with its financing and acquisition of a North American and Japanese closures business of an international corporation
  • A leading private equity sponsor in connection with financing its affiliate’s acquisition of one of the world’s leading automotive suppliers of thermoplastic components and systems

Additionally, Mr. Diaz-Albertini has significant prior experience representing:

  • Financing sources in their various capacities as initial purchasers, underwriters, agents and lead arrangers over $14 billion of debt, equity and bank financing and refinancing transactions by media and technology companies
  • Underwriters and initial purchasers in connection with over $4.5 billion of debt and equity securities offerings by Real Estate Investment Trusts (REITs)
  • Underwriters and initial purchasers in public and private debt and equity offerings of over $4 billion of securities, as well as debt tenders and consent solicitations, by leading gaming and hospitality companies
  • Financing sources in their various capacities as initial purchasers, underwriters, agents and lead arrangers in over $3 billion in debt, equity and bank financing transactions in the energy industry
  • Financing sources in their various capacities as initial purchasers, underwriters, agents and lead arrangers in over $2 billion in debt, equity and bank financing transactions in the manufacturing industry

Recognition & Accomplishments

Mr. Diaz-Albertini was named a Rising Star by New York Super Lawyers and is a recognized as an “Notable Practioner” by ILFR 1000. He is also a member of the Syracuse University College of Law Board of Advisors.

Mr. Diaz-Albertini graduated magna cum laude from Bryant University where he was a member of the Beta Gamma Sigma Honor Society. He received his J.D. from Syracuse University College of Law where he graduated magna cum laude, was a member of  the Syracuse Law Review, the Order of the Coif and the Justinian Honor Society.

Prior to joining Milbank, he was a partner at a leading US law firm serving the financial industry where he principally advised clients on financing and capital markets transactions. He started his legal career as an associate at a Wall Street law firm where he spent several years representing investment banks, initial purchasers and syndicated loan groups in public and private debt and equity capital markets and leveraged finance transactions. Mr. Diaz-Albertini joined Milbank in 2021.
