Milbank Advises the Arrangers and Initial Purchasers in Connection with Bain Capital’s Acquisition of House of HR

In connection with the previous advice on the financing package in support of Bain Capital’s acquisition of House of HR, European recruitment specialists (click here to read the press release), Milbank LLP represented the arrangers in connection with senior secured term facilities, a senior secured revolving credit facility, a second lien facility, and a senior secured bridge facility and subsequently represented the initial purchasers in connection with an offering of €415,000,000 senior secured notes due 2029 by Villa Dutch Bidco B.V. (the “Offering”).

The gross proceeds of the senior secured term facilities, the second lien facility and the bridge facility, together with certain equity contributions, were used to fund, among others, the acquisition of House of HR, certain acquisitions by House of HR and transaction fees and expenses. Subsequently, the proceeds from the Offering, together with certain other funds, were used to refinance amounts drawn under the senior secured bridge facility and to pay related fees and expenses.

House of HR is a leading provider of HR solutions in key European staffing markets, offering end-to-end temporary recruiting and outsourcing services.
