Primary Focus & Experience
Mr. Haltom’s practice focuses on the representation of project sponsors and financial institutions on a range of project development, financing and mergers & acquisitions transactions across the energy and power sectors.
His recent representations include:
- Rowan Digital Infrastructure in connection with multiple project financings of its hyperscale data center campuses in Maryland and Texas, totaling more than $5 billion in commitments.
- Morgan Stanley, as sole bookrunner, in connection with the largest private debt offering ever, the $27.3 billion financing of the Hyperion data center campus in Richland Parish, Louisiana, which is owned by a joint venture between Blue Owl Capital and Meta Platforms, Inc.
- The backleverage lenders in connection with multiple project financings of wind and solar energy generation projects across the United States.
- LS Power in connection with more than $1 billion in debt financings to finance its transmission business.
- A secured lender under a pre-DIP bridge loan facility to fund certain expenses in anticipation of the eventual chapter 11 case of Pine Gate Renewables, which addressed more than $7 billion of funded debt and equity capital.
- The lenders in connection with the $2.1 billion project financing of the Woodfibre LNG project in British Columbia, Canada.
- The lenders in connection with multiple holdco financings of data center and fiber assets.
