Shaul Steinberg is special counsel in the London office of Milbank LLP and a member of the firm’s Tax Practice. 

Primary Focus & Experience

Shaul advises clients on a broad range of international transactions, including M&A, restructurings, joint ventures, structured finance (including securitizations and similar structures) and leveraged finance. He has deep experience advising on the tax aspects of private equity and special opportunity investments, as well as related refinancings, restructurings and exit strategies. 

Shaul is a Chartered Tax Adviser and a member of the Chartered Institute of Taxation (CIOT).

Shaul’s recent transactions include: 

  • ICG on its investment in Navarino, a leading maritime technology company.
  • PA Consulting in connection with its agreement with Jacobs (NYSE: J) for Jacobs to acquire the remaining ownership stake in PA for upfront consideration of approximately £1.216 billion.
  • Charterhouse Capital Partners on the acquisition of a majority stake in Two Circles.*
  • Investec on an all-share combination of Investec Wealth & Investment Limited and Rathbones Group plc to create the UK’s leading discretionary wealth manager, with an implied equity value of approximately £839 million for Investec W&I Limited.*
  • Mayfair Equity Partners on its investment in i-media, a rapidly growing Digital Out of Home media owner with exclusive advertising rights across the UK’s Motorway Service Areas.*
  • Leading Mobile Virtual Network Operator (MVNO) Lebara on its strategic partnership with Waterland Private Equity.*
  • Hayfin on the sale of Autovista Group to J.D. Power, a global leader in data analytics.*
  • Funds managed by Ares Management, a global alternative investment manager, on facilities provided to Titan Wealth Holdings in connection with a sale of the Titan asset management business.*
  • Exponent on exit from Isio and Isio on new investment from Aquiline.*
  • Ares Management on providing financing to Lovell Minnick on the merger between London & Capital and Waverton.*
  • On a joint venture backed by Supermarket Income REIT plc on the acquisition from Aviva of a 25% stake in one of the UK's largest portfolios of supermarket properties for £115 million.*
  • Alcentra, on the successful fundraising of its latest European direct lending fund, which closed at €5.5 billion.*
  • European private equity firm KLAR Partners on its first fund, Klar Partners I, which closed at its hard cap of €600 million.*
  • Alchemy on both the initial acquisition and subsequent sale of the Inn Collection Group to a newly formed company backed by the Harris family and Kings Park Capital.*
  • Alchemy on the acquisition of Brasserie Bar Co, which owns the Brasserie Blanc and White Brasserie Co brands founded by chef Raymond Blanc.*
  • Duke Street on the acquisition of ForLife and Trio Healthcare to create a European ostomy care specialist.*
  • Graphite Capital on the sale of YSC Consulting.*
  • A global bank on the UK tax aspects of a reorganization of its corporate structure.*
  • Several private equity investment fund clients on the restructurings of their investments, including “debt-for-equity” swaps.*

Recognition & Accomplishments

Shaul earned his LPC, with distinction, from the College of Law in London and received his LLB (1st Class) from the University of Manchester.
