Lowell K. Dyer is a partner in the New York office of Milbank LLP and a member of the firm’s Global Corporate/M&A Group. He is also a member of the Digital Infrastructure Practice Group.

Primary Focus & Experience

Mr. Dyer focuses his practice on complex mergers and acquisitions, private equity transactions, and securities and capital markets matters. Mr. Dyer represents private equity and infrastructure funds—and their portfolio companies—across industries, including power and renewables, business and government services, education and healthcare, in all aspects of their investment lifecycle, from initial platform acquisitions and complex "behind-the-meter" (BTM) operational strategies to successful exits. His experience spans both private and public M&A, including traditional cross-border purchases and sales, strategic mergers, joint ventures, and sophisticated restructurings and recapitalizations. In addition to his transactional work, Mr. Dyer also serves as a trusted advisor to clients on a broad range of general corporate and governance matters.

    • its acquisition of Ruffalo Noel Levitz (RNL)
    • its acquisition of Anthology Inc.’s Lifecycle Engagement and Student Success business through Anthology’s Chapter 11 process
  • Equinor in:
    • its $3 billion financing for its Empire Wind 1 project
    • its acquisition of the Astoria Gas Turbines site from NRG
  • LS Power in the sale of its Hummel and Rolling Hills projects to Capital Power
  • Marlin Equity Partners in:
    • its sale of Elenion Technologies Corporation to Nokia of America Corporation
    • its $521 million acquisition of Bazaarvoice
  • Nexus Capital Management:
    • in its acquisition of ACT and Encoura
    • as a member of an ad hoc group of creditors in connection with the successful restructuring of Anthology Inc. (rebranded as Blackboard) and certain of its affiliates
  • Oak Hill in connection with arranging the out-of-court restructuring and recapitalization of Cricket Valley Energy Center, a 1,171 MW natural gas power generation facility in Dutchess County, New York
  • Unison Energy in its acquisition of 125 Broad CHP, the owner of assets and properties associated with the operation of a distributed scale combined cooling, heat and power energy microgrid system in New York
  • Veritas Capital in numerous acquisitions, investments and divestitures across multiple industry and geographical sectors, including:
    • Business and Government Services (Alion Science and Technology, Dovel, Guidehouse, Grant Thornton Public Sector, KeyPoint Government Solutions, Navigant, Peraton, Perspecta, Vencore and ViON)
    • Education (Blackboard, Cambium Learning Group, Campus Management, Edcentric, Houghton Mifflin Harcourt, Finalsite, NWEA, Rosetta Stone, VKidz and Writable)
    • Healthcare (API Healthcare, athenahealth, Gainwell, HMS, Syneos and Virence Health)
