Primary Focus & Experience

Lay’s practice focuses on New York law-based consulting to Brazilian and US companies and financial institutions in a variety of cross-border transactions, including capital markets, financing and general corporate matters. Lays has been involved in numerous transactions across a variety of industries, including retail, manufacturing, oil and gas, aircraft and others.

She recently represented:

• Brazilian underwriters and international placement agents in the R$4.3 billion Rule 144A/Regulation S IPO of Caixa Seguridade Participações S.A.;
• 3R Petroleum e Participações S.A., a Brazilian oil & gas exploration and production company, in its R$2,409.0 million Rule 144A/Regulation S equity follow-on offering;
• CSN Resources S.A. in its US$850 million 4.625% notes due 2031 unconditionally and irrevocably guaranteed by Companhia Siderúrgica Nacional, one of Brazil's largest steel and mining producers, and represented CSN Resources S.A. in its tender offer to purchase for cash any and all of Its outstanding 7.625% senior unsecured guaranteed notes due 2023;
• Arezzo Indústria e Comércio S.A., a Brazilian footwear and fashion company, in its R$833.8 million Rule 144A/Reg S equity follow-on offering.
• TOTVS S.A, one of the largest technology and software companies in Latin America, in its R$1,459.5 million Rule 144A/Reg S equity follow-on offering.
• Cruzeiro do Sul Educacional S.A., one of the largest education companies in Brazil, in its R$1,071.0 million 144A/Reg S IPO;
• Brazilian underwriters and international placement agents, in the US$641.5 million Rule 144A/Reg S initial public offering of Jalles Machado S.A., a major sugar and ethanol producer in Brazil;
• Brazilian underwriters and international placement agents in the R$1,070.0 million Rule 144A/Reg S initial public offering of OceanPact Serviços Marítimos S.A., a Brazilian company that provides environmental, subsea operations and logistics and engineering services;
• Avianca Holdings S.A. in the preparation of its annual report on Form 20-F for 2020 and related SEC compliance matters;

Recognition & Accomplishments

Lays earned her LL.M. with honors from Northwestern University Pritzker School of Law, where she was awarded the Victor Rosenblum Award, and her LL.B. from Pontifical Catholic University of Parana.

Lays is native of Brazil and she speaks Portuguese, Spanish, Mandarin and French.
