Joshua Venne is an associate in the New York office of Milbank LLP and a member of the firm’s Tax Group.

Primary Focus & Experience
Mr. Venne’s practice focuses on the taxation of complex financing transactions, securities offerings, structured finance and asset securitization transactions. He also provides REIT-related guidance in connection with negotiating credit agreements and structuring joint ventures with respect to commercial real estate assets.
Prior to joining the firm, Mr. Venne gained extensive experience representing issuers and underwriters in capital markets offerings and securitization transactions. He has provided tax structuring on myriad REIT transactions, including debt and equity offerings, mergers and acquisitions, commercial real estate acquisitions, like-kind exchanges, mortgage and mezzanine loan originations and debt restructurings. He also has significant experience with tax structuring REMICs and other MBS securitization transactions.
Recognition & Accomplishment
Mr. Venne has been recognized by Chambers USA as an Associate to Watch in Tax. He is also a co-author of “Commercial Mortgage REITs: Tax Considerations When Dealing with Distressed Mortgage Loans,” published in Pratt’s Journal of Bankruptcy Law.
On a pro bono basis, he has provided training to service members in connection with the joint ABA-IRS VITA Adopt-a-Base Program. His collaborative pro bono efforts also helped medevac crews successfully lobby the United States Congress for the Congressional Gold Medal (P.L. 118-87).
