Primary Focus & Experience
Mr. Frazier’s practice focuses on executive compensation and employee benefits matters in connection with mergers, acquisitions and other business transactions. He has vast experience advising clients on the hiring of executive officers, the design and implementation of compensation and benefits programs, public disclosures related to executive compensation, and the governance, legal and regulatory considerations surrounding compensation practices in both public and private companies.

- LS Power in the $13 billion sale of its Power Portfolio to NRG Energy Inc.
- EoS Fitness in its $1.5 billion sale to TSG Consumer Partners.
- Cencosud S.A. in its $295 million acquisition of the remaining 33% stake in The Fresh Market Holdings, Inc. from affiliates of Apollo Global Management.
- Susquehanna International Group in connection with its joint venture with Robinhood Markets, Inc. and acquisition of MIAX Derivatives Exchange.
- Investment funds affiliated with Vision Ridge Partners in connection with VEMO’s $250 million equity commitment round.
- Prime Infrastructure Capital, Inc. in its acquisition of SierraCol Energy Limited from The Carlyle Group.
- Andra Tech Group in its acquisition of F.K. Instrument.
- Court Square Capital Partners in its strategic investment in AVANT.
- Intralot in connection with its €2.7 billion acquisition of Bally’s International Interactive Business.
- One Equity Partners in its investment in McNICHOLS, a leading supplier of specialty metals and fiberglass products across the United States.
- Stanley Black and Decker, Inc. in the $760 million sale of its infrastructure business to Epiroc AB.*
