Primary Focus & Experience
James has experience acting for a variety of lenders (including commercial and investment banks, private credit and other financial institutions) and sponsors/borrowers on a wide range of complex and cross-border leveraged acquisition, public to private, and infrastructure financings and restructurings, across the full spectrum of products (including bank/bond, covenant-lite, second lien, mezzanine, private high yield, holdco financings and “payment in kind” facilities).

- Advising the financing sources in connection with TPG’s €3.9 billion acquisition of Aareon AG from Aareal Bank and Advent International.
- Advising the financing sources in connection with the financing of Permira’s £2.3 billion recommended cash offer for JTC plc.
- Advising the financing sources in connection with Dechra Pharmaceuticals $1.9 billion refinancing.
- Advising the financing sources in connection with Modulaire’s €1.9 billion refinancing.
- Advising the financing sources in connection with the debt financing for General Atlantic’s take-private acquisition of Learning Technologies Group plc.
- Advising the financing sources on PAI Partners acquisition of Audiotonix.
- Advising Vía Célere Desarrollos Inmobiliarios, S.A.U. in connection with its offering of €320 million 4.875% senior secured notes due 2031 and its new €60 million super senior revolving credit facility.
- Advising the financing sources in connection with Adevinta’s private credit loan financing.
- Advising Incora through its successful Chapter 11 restructuring.
- Advising the financing sources in connection with Ardonagh’s $2 billion high yield bond offering and £300 million revolving credit facility.
- Advising Limerston Capital on its acquisition of Stability Storage business unit, renamed Astoriom, from the Source Bioscience group.
- Advising the financing sources in connection with Carlyle and PAI’s joint acquisition of Theramex, the leading global specialty pharmaceuticals company focused on women’s health, from CVC Capital Partners.
- Advising the underwriting banks in connection with e financing for Brookfield’s acquisition of Modulaire Group for approximately $5 billion.
- Advising the financing sources in connection with Brookfield’s acquisition of Cupa Group, a leading international producer of premium natural slate, from Carlyle.
