Primary Focus & Experience

Guilherme’s practice concentrates on M&A, financing, capital markets, and general corporate matters. Guilherme has been involved in numerous M&A and capital markets transactions across different sectors, including the following:

• Altavair, a leader in commercial aircraft leasing and finance, on a strategic investment by KKR increasing its ownership stake in Altavair and its affiliate AV AirFinance;
• Skyloom Global Corp., a U.S.-based communications company, on its acquisition by IonQ Inc. (NYSE: IONQ), a quantum computing company;
• Blackstone on a $7 billion minority equity investment in Port Arthur LNG Phase 2, an LNG export project in Port Arthur, Texas;
• Abra Group in connection with the business combination between GOL Linhas Aéreas S.A. and Avianca S.A., creating a holding company co-controlled by their principal shareholders;
• Embraer in (i) its joint venture with Nidec Motor Corporation, a Japanese electric motor manufacturer, and (ii) its equity investment in the sustainable aviation fuel fund of United Airlines Ventures;
• Banco Modal S.A. on its sale to XP Inc.;
• B3 S.A. – Brasil, Bolsa, Balcão on its investments in (i) venture capital funds managed by Monashees, (ii) Vermiculus, a Swedish fintech company, and (iii) Pismo, a Brazilian payment infrastructure provider;
• Magazine Luiza on its acquisition of Nonsense Creations LLC and Jovem Nerd;
• GOL Linhas Aéreas S.A. on an equity investment by American Airlines Inc.;
• New Fortress Energy on its investment in an LNG terminal and gas-fired power plant in Northeast Brazil;
• Ser Educacional on its acquisition of Laureate Education’s business in Brazil;
• Itaú Unibanco S.A. on its acquisition of Banco Citibank S.A., the Brazilian subsidiary of Citibank;
• KKR on its acquisition of Gunnebo Industrier AG, a Swedish construction company;
• Warburg Pincus on its investment in Practice Velocity LLC, a U.S. healthcare company; and
• Actis on its acquisition of a minority stake in Cruzeiro do Sul Educação, a Brazilian education group.
