Facundo has experience acting on a broad range of matters, with specific experience in international capital markets and finance transactions.
His recent experience includes advising:
- The initial purchasers and lenders in connection with the offering by Benteler International AG (“Benteler”) of €600 million 7.25% senior secured notes due 2031, in parallel to the provision of a €1 billion term loan facility and a €400 million revolving credit facility.
- The initial purchasers in connection with an offering by Borr IHC Limited, Borr Finance LLC and certain other subsidiaries of NYSE-listed Borr Drilling Limited (“Borr”) of $165 million in aggregate principal amount of senior secured notes due 2030.
- ION Group and its subsidiary ION Platform Investment Group Limited (“ION Platform”) in connection with its refinancing comprising (i) an exchange offer and consent solicitation across multiple series of existing senior secured notes previously issued by certain of ION Platform’s subsidiaries (the “Exchange Offer and Consent Solicitation”), (ii) a new-money offering of approximately $2.7 billion (equivalent) USD and Euro Senior Secured Notes due 2030 and 2032 (the “New Notes”) and (iii) new senior secured term loan facilities of approximately $4.4 billion (equivalent) USD and Euro Term Loans (the “New Loans”) (the “Refinancing”).
- Zegona Communications plc and certain subsidiaries in connection with its TLB loan of €575 million to refinance, among other things, Zegona’s existing term loan A that was originally drawn to support the acquisition of Vodafone Spain for an enterprise value of €5 billion on May 31, 2024, and its private offering of €150 million 6.750% senior secured notes due 2029 to refinance certain of the Group’s indebtedness together with the payment of costs, fees and expenses in connection with the foregoing.
- The arrangers in connection with a €1.3B syndicated term loan facility and the initial purchasers in connection with BCP V Modular Services Finance II PLC's offering of €600 million 6.5% senior secured notes due 2031.
- The underwriters, led by NatWest Markets Securities Inc., in connection with NatWest Group plc’s offering of $1,250,000,000 5.115% senior callable fixed-to-fixed reset rate notes due 2031 and $300,000,000 senior callable floating rate notes due 2029.
- The initial purchasers and RCF lenders on the financing of the acquisition of Somacis by Bain Capital and of AT&S Korea by Somacis.
