Primary Focus & Experience

Edward P. Lemanowicz focuses his practice on federal tax law, particularly with respect structuring, negotiating, and executing transactions on behalf of private equity sponsors and their portfolio companies.  Mr. Lemanowicz also advises companies on the tax aspects of their strategic M&A transactions.

Recognition & Accomplishments

Mr. Lemanowicz is consistently ranked as a leading tax lawyer in Pennsylvania by Chambers USA, which recently lauded him as being “outstanding” and “a wise counselor” who is “calm, levelheaded and can see the bigger picture.” Previous editions of Chambers USA have described him as "smart, practical and efficient across the board," as well as "very strong” on international tax matters and reorganizations. In addition, he has been highlighted as a leading tax lawyer by The Legal 500 US, which noted that he is “a very knowledgeable international tax attorney whose help on several complex international M&A transactions was invaluable.”

Mr. Lemanowicz received his LL.M, Taxation from New York University School of Law, his J.D. from Temple University Beasley School of Law and his B.S. from La Salle University. He joined Milbank in 2023 from a leading US firm specializing in federal tax law.

• One Equity Partners in its carveout and acquisition of TechnipFMC’s (NYSE: FTI) measurement solutions business, rebranded as Guidant, a leading provider of integrated measurement systems deployed across the energy value chain.
• One Equity Partners in the acquisition of cloud services provider Liquid Web.*
• One Equity Partners in the acquisition of Mythics Emergent Group, a leading technology solutions partners to the public sector.*
• One Equity Partners in the acquisition of the online banking solution business from ACI Worldwide (NASDAQ: ACIW), a global leader in mission-critical, real-time payments software.*
• One Equity Partners in the acquisitions of Boral Resources, Boral Limited's (ASX: BLD) North American fly ash business, and Green Cement Inc., a manufacturer of near-zero carbon cement alternatives, to create Eco Material, a company dedicated to decarbonizing the materials industry through scalable and proven technological solutions.*

• The Special Transaction Committee of Carrols Restaurant Group (NASDAQ:  TAST) in its $1B sale to Restaurant Brands International Inc. (NYSE: QSR)
• Griffon Corporation (NYSE: GFF) in the sale of Telephonics Corporation, leading provider of intelligence, surveillance and communications solutions that are deployed across a wide range of land, sea and air applications, to TTM Technologies, Inc. (NASDAQ:TTMI).*
• Crown Holdings, Inc. (NYSE: CCK) in the sale of its European Tinplate business to KPS Capital Partners, L.P. for approximately €1.9 billion and a 20% ownership stake in the business. The European Tinplate business comprised 44 manufacturing facilities in 17 countries in Europe, the Middle East and Africa which produce food cans and ends, aerosol cans, metal closures and promotional packaging for various consumer brands.*
