Andrew Pendleton is a partner in the Tokyo office of Milbank LLP and a member of the Global Project, Energy and Infrastructure Finance Group. He was previously based in our London office. Andrew has particular experience supporting ECAs, sponsors and commercial banks on large multi-sourced project and acquisition financings, and restructurings, in the petrochemicals, oil and gas, mining / metals, battery and traditional power sectors globally, having acted as lead attorney on a number of award-winning transactions.

Primary Focus & Experience

His recent representations include acting for the financing providers on the multilateral project financings for:

  • the US$10 billion financing for the PRefChem Project (RAPID / Marigold) in Malaysia (PFI’s “Petrochemicals Deal of the Year” 2019);
  • the US$2 billion financing of the Ambatovy nickel and cobalt project in Madagascar (IJ Global’s “Africa Refinancing Deal of the Year” 2021);
  • the US$4.4 billion Oyu Tolgoi Mining Project in Mongolia (named “Mining Deal of the Year” at the PFI Awards 2016);
  • the US$5.2 billion Rabigh Petrochemical Expansion Project in Saudi Arabia (named “Petrochemicals Deal of the Year” at the PFI Awards 2016); and
  • the US$12.5 billion Sadara Integrated Chemicals Project in Saudi Arabia (named “Global Deal of the Year” and “Middle East Deal of the Year” by Project Finance Magazine, “Middle East and Africa Petrochemical Deal of the Year” by Project Finance International, and “Project and Infrastructure Deal of the Year” by Islamic Finance News).

Andrew's other representations include acting for the Sponsors / finance parties in relation to the development and financing of the Papua LNG Project, the Yemen LNG Project, the Yanbu Refinery Project (Saudi Arabia), and the Qatofin Petrochemical Project in Qatar, together with various power-related acquisition and project financings in EMEA and Southeast Asia.

He is currently particularly active in the emerging EV-related metals market as a member of Milbank’s market-leading ESG and Sustainability practice.

Recognitions & Accomplishments

Andrew has written for various legal industry publications. He is a co-author of both the Oxford University Press Guide to International Project Finance: Law and Practice and The Projects and Construction Law Review. He is also the author of “Identifying and managing project finance risks: Overview (UK)” in Thomson Reuters’ Practical Law legal resource.

Andrew is band-ranked by Chambers Asia Pacific for Projects & Energy in Japan where clients report "he knows the market absolutely backwards and forwards, offering huge in-depth knowledge and a great commercial approach to negotiations," and note that "his quality of work, breadth of knowledge and commercial acumen truly stand out."
