Andrew Harmeyer is a partner in the New York office of Milbank and a member of the firm's Financial Restructuring Group.

Primary Focus & Experience

Mr. Harmeyer has extensive experience representing ad hoc groups of creditors, investors, and companies in a wide variety of complex restructurings, liability management transactions, and special situation financings.   

Representative Clients and Transactions

Creditor and Investor-Side Engagements 

  • Ad hoc group of secured lenders in Steward Healthcare’s chapter 11 cases involving more than $9 billion of liabilities, including structuring a $225 million new money DIP loan from the lenders and negotiating the settlement of a lift stay demand by the lenders, resulting in a substantial paydown of the lenders’ claims and the transfer of the debtors’ remaining assets to a trust in which the lenders are the senior beneficiaries. 
  • Direct lender under a $185 million loan to a newly formed bankruptcy remote subsidiary of Sunnova in connection with Sunnova’s chapter 11 cases, including a special committee investigation of the loan, resulting in a full release of potential estate claims against the lender, without any economic impairment to its loan.  
  • Administrative agents, lenders, or aircraft lessors in nearly every recent major airline chapter 11 case, including Azul, Spirit, SAS, Aeroméxico, and LATAM.  
  • Ad hoc group holding more than $300 million of unsecured claims in Enviva’s chapter 11 cases. 
  • Ad hoc group of lenders holding approximately $500 million of secured loans in Heritage Power’s chapter 11 cases, culminating in the lenders taking ownership of Heritage through a plan of reorganization. 
  • Lender syndicate holding more than $500 million of secured loans in Nordic Aviation Capital’s chapter 11 cases.    Through the restructuring, the lenders’ silos, which owned 37 aircraft on lease to various airlines globally, were separated from the rest of the debtors’ enterprise and recapitalized under a new leasing platform. 
  • Successful plan sponsors and anchor investors in Garrett Motion’s $1.3 billion issuance of convertible preferred stock under a chapter 11 plan. 
  • Ad hoc group of secured lenders in Cirque du Soleil’s restructuring implemented through Canadian CCAA and U.S. chapter 15 proceedings, culminating in the lenders taking ownership of this iconic company through a credit bid of more than $1 billion of secured claims and providing $375 million of new financing to restart the company’s operations after they were suspended at the beginning of the COVID-19 pandemic.    
  • Ad hoc group of secured lenders in RentPath’s chapter 11 cases, including in the negotiation of a $75 million DIP loan and subsequent sale of the lenders’ collateral to a strategic buyer for more than $600 million.  
  • Official Committee of Unsecured Creditors in Talen Energy’s chapter 11 cases involving more than $4.5 billion of liabilities.  
  • Ad hoc group of noteholders holding more than $700 million of claims in Windstream’s chapter 11 cases.  
  • Project lenders in Preferred Sands’ $1.5 billion out-of-court restructuring, which resulted in the lenders acquiring the company’s in-basin production assets.   

Company-Side Engagements 

Mr. Harmeyer has represented numerous companies in their restructuring and recapitalization transactions, including, most recently, Oregon Tool in its $150 million new money financing and $1.3 billion recapitalization of its existing funded debt, Petmate in a new money drop-down financing and out-of-court restructuring of more than $800 million of liabilities, and OneWeb in its chapter 11 sale process that generated more than $1 billion of value.      

Recognition & Accomplishments

Mr. Harmeyer received his J.D. from Columbia Law School, where he served as Articles Editor of the Columbia Business Law Review and was a Stone Scholar. He received his B.S. in Business Administration, magna cum laude, from the University of Arizona.
