Primary Focus & Experience

Alex has experience acting on a broad range of matters, with particular experience advising commercial and investment banks, direct lenders and other financial institutions on their financing transactions. Alex’s practice focuses on multi-jurisdictional leveraged (including acquisition) finance, general corporate and working capital facilities, refinancings and restructurings that involve a variety of borrowers across numerous sectors and industries.

A selection of Alex’s experience includes:

• Advising the financing sources and certain equity co-investors in connection with Ridgeview Partners' proposed £545 million recommended take-private of Pinewood Technologies Group plc (LSE: PINE), a cloud-based, AI-first, full-service technology provider to automotive retailers and OEMs
• Advising the financing sources in connection with Providence’s acquisition of Hometrack, a leading provider of residential property data and analytics in the UK and the Netherlands, from Zoopla Property Group
• Advising the financing sources in connection with Providence’s significant investment in Southern Communications Group, a leading UK provider of customer communications management solutions
• Advising Bally’s Intralot S.A. in connection with the financing elements of its acquisition of evoke plc (a betting and gaming company and owner of brands including William Hill, Mr Green and 888)
• Advising the financing sources in connection with Stone Point Capital’s acquisition of Amber River, one of the UK’s largest and fastest-growing independent wealth management advisory firms
• Advising Zegona Communications plc in connection with its financings, including:
  • its landmark €3.7bn comprehensive refinancing of its existing senior secured notes and senior facilities
  • a TLB issuance of €575m to refinance Zegona’s existing term loan A and Zegona’s private offering of €150m 6.750% senior secured notes due 2029
  • repricings of its existing senior facilities and related issuances/upsizes thereof
  • its €4.2bn financing for the acquisition of Vodafone Spain (and related refinancing thereof)
• Advising the financing sources in connection with Bridgepoint’s acquisition of a majority stake in Interpath, a global financial advisory firm
• Advising the financing sources on the financing of Permira’s £2.3bn recommended cash offer for JTC plc
• Advising Vía Célere Desarrollos Inmobiliarios, S.A.U. in connection with its offering of €320m 4.875% senior secured notes due 2031 and its new €60m super senior revolving credit facility
• Advising the financing sources in connection with L Catterton’s investment in Dishoom, a renowned restaurant brand in the UK
• Advising the financing sources in connection with Bain Capital’s acquisition of Softway Medical
• Advising the financing sources in connection with Bain Capital’s portfolio company Ahlstrom’s acquisition of Stevens Point
• Advising the financing sources in connection with the debt financing for General Atlantic’s take-private acquisition of Learning Technologies Group plc
• Advising an ad hoc group of senior lenders on the recapitalisation of the Accell Group, a market leading producer of bicycles
• Advising the financing sources on Providence Equity Partners’ acquisition of Tax Systems, the global tax and accounting software provider
• Advising the financing sources in connection with the refinancing of the capital structure of one of the UK’s top-tier wealth management and accountancy firms
• Advising the financing sources on PAI Partners acquisition of Audiotonix
• Advising the initial purchasers in connection with Fedrigoni’s €730m high yield bond offerings
• Advising the senior lenders to Keter Group on transfer of ownership
• Advising OEP from an English law financing perspective on acquisition of TechnipFMC’s measurement solutions business
• Advising the financing sources from an English law perspective in respect of (i) the senior secured debtor-in-possession letter of credit facility in connection with WeWork’s Chapter 11 Bankruptcy and (ii) the “first out” senior secured cash collateralized letter of credit facility in connection with WeWork’s Chapter 11 exit financing
• Advising the initial purchasers in connection with Fedrigoni’s €665m high yield bond offering and the upsize of its existing revolving credit facility
