Adam Di Vincenzo is a partner in the Washington, DC office of Milbank LLP and a member of the Litigation & Arbitration Group.

Primary Focus & Experience

Mr. Di Vincenzo’s antitrust and competition law practice focuses on representing clients in government reviews of mergers and acquisitions, antitrust investigations, and antitrust litigation.

He has served as lead antitrust counsel for Fortune 500 public companies, and private equity sponsors and their portfolio companies, in dozens of antitrust matters before enforcement authorities in the United States (including the DOJ and FTC) and internationally. He represents and counsels clients on a range of significant antitrust M&A reviews and antitrust investigations and litigation.

Mr. Di Vincenzo served as lead or co-lead antitrust counsel, or otherwise played a significant role, in the following antitrust matters:

  • SLB in its $7.8 billion acquisition of ChampionX, its subsea joint venture with Aker and Subsea7, and its $15 billion acquisition of Cameron International
  • H&E in its $5.2 billion acquisition by Herc, and in its proposed acquisition by United Rentals
  • Investors and owners of the Colonial Pipeline in its $9 billion sale to Brookfield partners
  • Oak View Group in the US DOJ’s pending antitrust lawsuit against Live Nation (United States v. Live Nation S.D.N.Y.)
  • Williams in its $33 billion acquisition by ETE (cleared following negotiated FTC consent decree)*
  • Stone Canyon Industries in its $3.2 billion acquisition of Morton Salt from K+S (cleared following negotiated DOJ consent decree)*
  • United States v. AT&T: Represented AT&T in its acquisition of Time Warner, including in its successful litigation defense against the DOJ (United States v. AT&T, D.D.C.)*
  • In re Inclusive Access Antitrust Litigation: Represented Barnes & Noble Education in its successful dismissal of multiple consumer and competitor antitrust class actions alleging Sherman Act violations involving digital textbooks (S.D.N.Y.)
  • Spark Therapeutics in its $4.8 billion acquisition by Roche (unconditionally cleared by the FTC following a Second Request investigation)*
  • Walmart in its $3 billion acquisition of Jet.com*
  • Several confidential clients in DOJ criminal antitrust investigations involving alleged market allocation, bid-rigging, and employee no-poach arrangements

Mr. Di Vincenzo also has extensive experience defending clients in antitrust litigation, and counsels clients on regulatory and compliance issues arising under the Sherman Act, the Clayton Act, the Robinson-Patman Act, and the Hart-Scott-Rodino (HSR) Act. His clients encompass a range of industries, including energy, defense, tech, advertising, insurance, retail, gaming, aviation, chemicals, consulting, entertainment, pharmaceuticals, medical devices, manufacturing, transportation, media, telecommunications, software, semiconductors, agriculture, wood products and consumer products.

Mr. Di Vincenzo is widely recognized as a leading antitrust lawyer by publications such as Global Competition Review, Legal 500, Benchmark Litigation, Who’s Who Legal, BTI Consulting, Law360, and Lawdragon. Mr. Di Vincenzo was featured in the 2025 Lawdragon 500 Leading Global Antitrust & Competition Lawyers guide. He has been recognized by Legal 500 as a Next Generation Partner in Antitrust: Merger Control and Leading Lawyer in Antitrust: Cartel. In 2022, 2023, and 2024, he was recognized in Lawdragon's 500 Leading Litigators in America and as a Future Star by Benchmark Litigation. He currently serves as a Senior Editor of the American Bar Association’ Antitrust Law Journal and was a principal editor of "Antitrust Laws & Trade Regulation: Desk Edition" (published by LexisNexis). He also served as Co-chair of the ABA’s workshop on the 2023 US DOJ and FTC Merger Guidelines, and and he has published several articles and symposia exploring topics such as merger analysis, IP and antitrust, antitrust and M&A, and other issues.
