FOR IMMEDIATE RELEASE

Ms. Martin provides expert regulatory advice across a broad spectrum of complex finance and capital markets transactions

NEW YORK, May 19, 2014 – Milbank, Tweed, Hadley & McCloy LLP announced that Catherine Leef Martin, an experienced and versatile Investment Company Act (1940 Act) and Advisers Act attorney, has joined the firm as Special Counsel in the Alternative Investments Practice. Cathy will be based in New York.

Cathy has helped hundreds of US and offshore corporations and financial institutions address investment company status issues, including qualification for exemptions from the Investment Company Act, in a broad range of securities offerings, financings and M&A transactions. She frequently advises bank holding companies and their affiliates on “covered fund” issues under the new Volcker Rule, including issues raised by covered bond structures, securitizations and real estate and private equity investment structures. She also advises on complex Investment Company Act issues faced by issuers of equity-linked and index-linked structured products; financial institutions engaging in derivative transactions with investment companies; and US and international REITs, infrastructure funds and oil & gas funds. Cathy has helped many non-US issuers seeking to offer securities in the US for the first time to overcome regulatory obstacles under the Investment Company Act, including in debt and equity offerings under Section 3(c)(7). She has also provided advice on employees' securities companies and has advised private fund managers on permanent capital vehicles.

Albert Pisa, practice group leader of Milbank’s Alternative Investments Practice, said, “Cathy’s practice and work experience are extremely well rounded. She is a great addition to our Alternative Investments Practice and will be a valued advisor to a tremendous variety of Milbank clients.”

“Milbank’s interdisciplinary approach to its wide range of global capital markets work is a perfect fit for my practice,” said Cathy. “The firm regularly advises the world’s leading financial institutions, private investment funds and other key players in their most challenging and customized investment and financing transactions. And it has a stellar financial regulatory practice to complement its deal work. I am looking forward to adding my skill set and experience to Milbank.”

Cathy earned her law degree from Columbia Law School and received an AB in Economics, magna cum laude, from Princeton University. Cathy was previously counsel at Davis Polk in New York.
