Primary Focus & Experience
Ms. Mori’s practice focuses on Title I of ERISA, specifically ERISA’s fiduciary, prohibited transaction and plan asset rules, with particular experience advising fund sponsors and asset managers on ERISA plan asset rules and the structuring of investment vehicles, including hard‑wired and rated feeder arrangements. She also assists clients with ERISA compliance for plan asset funds and related regulatory considerations. Ms. Mori also has significant experience with structured finance transactions and securitizations and regularly advises clients concerning the ERISA aspects of the structuring of such products, representing sponsors, managers, underwriters and investors.
Ms. Mori regularly counsels ERISA fiduciaries and plan sponsors on fiduciary duties, prohibited transaction rules, investment‑related issues, and Department of Labor regulations and exemptions, including QPAM. She also provides ERISA‑related support in mergers, acquisitions and other corporate transactions, including diligence and the preparation of ERISA provisions in purchase and merger agreements.
