Primary Focus & Experience
Mr. Schwer’s practice focuses on the representation of private equity funds, project sponsors, investors, developers and other stakeholders in domestic and cross-border acquisitions, dispositions, joint ventures, project development and supply chain transactions in the energy and infrastructure sectors.
His recent representations include:
- Switch Inc. in connection with the construction contracts for the development of data center campuses in Georgia and Nevada.
- Forge Growth Infrastructure in connection with Project Jupiter, a 2.3 GW behind-the-meter power generation project that will supply power to an $18 billion AI data center in New Mexico, including advising on the equipment supply, service warranty and O&M arrangements.
- SoftBank in connection with the development of a 9.2 GW portfolio of power generation facilities that will supply power to a 10 GW AI data center being developed in Ohio.
- A major European digital infrastructure company in connection with the negotiation of large load energy supply arrangements for data center campus developments, including in the PJM, SPP, MISO and SERC regions.
- A leading hyperscaler in connection with the negotiation of development and power supply arrangements with a small modular reactors developer.
- An electric cooperative in MISO in connection with the renegotiation of power supply pass-through arrangements with certain industrial customers.
- LS Power in connection with the sale of the Santa Rosa Energy Center, a 230 MW combined-cycle power generation facility to ArcLight Capital Partners.
- A leading biomass renewables developer in connection with joint venture, offtake and fuel supply arrangements for a production facility in Arkansas.
- Unison Energy in connection with the acquisition of 100% of the equity interest in the owner / operator of a distributed scale combined cooling, heat and power energy generation microgrid system, including advising on the renegotiation of the energy sales arrangements.
- A leading global retailer in connection with the purchase from a renewable energy developer of federal investment tax credits generated from community solar and commercial and industrial solar projects located throughout the U.S.
- LS Power in connection with the $2.5 billion acquisition of Algonquin Power’s renewable energy business.
