Jennifer Borzooyeh

Primary Focus & Experience

Ms. Borzooyeh focuses her practice on financial markets regulation, with particular experience advising on regulatory and transactional matters related to derivatives and electronic trading platforms as well as regulatory frameworks impacting market infrastructure.

Prior to joining Milbank, Ms. Borzooyeh was Head of Americas and APAC on Bloomberg L.P.’s Financial Regulatory Team, where she led a global team of attorneys supporting regulatory strategy across multiple jurisdictions. In that role, Ms. Borzooyeh advised on the licensing and ongoing compliance of electronic trading venues, including Bloomberg’s CFTC-registered swap execution facility (BSEF) and SEC-registered security-based swap execution facility (SBSEF). Ms. Borzooyeh regularly engaged with regulators across the United States, Canada, LatAm and Asia-Pacific on complex regulatory matters and worked closely with senior business and engineering stakeholders to align legal requirements with commercial objectives.

Earlier in her career, Ms. Borzooyeh was an associate in the Capital Markets group at a New York-based law firm, where she represented issuers and underwriters in a broad range of capital markets transactions, including equity offerings, high-yield and investment grade debt offerings, IPOs and tender offers. Ms. Borzooyeh also advised on periodic reporting obligations and securities law compliance, including drafting and reviewing SEC filings and disclosure documents.

Ms. Borzooyeh earned her J.D. from Boston University School of Law, her M.A. from the University of Denver and her B.A. from The University of Alabama.
