Harry Smouha

Primary Focus & Experience

Harry’s practice focuses on private equity transactions, advising sponsors and infrastructure investors and their portfolio companies on cross-border public and private M&A, leveraged buyouts, secondary and continuation fund transactions, IPOs and management equity arrangements.

Prior to joining Milbank, Harry was an associate in the corporate team of a leading US law firm and spent seven months on secondment to the legal teams of Blackstone’s Private Equity, Tactical Opportunities and Growth Strategies team.

• Blackstone Private Equity Strategies (BXPE) on its minority investment in ATG Entertainment (formerly The Ambassador Theatre Group), a premier theatre and entertainment company*
• Blackstone Capital Partners on its acquisition of Civica, a leading public sector software provider, from Partners Group*
• Blackstone portfolio company Cirsa, a leading global multinational gaming and leisure company, on its €453 million initial public offering and listing on the Barcelona, Bilbao, Madrid and Valencia stock exchanges*
• KKR on the sale of its 50% stake in X-ELIO, a global renewables developer, to Brookfield Renewable Partners*
• KKR on its £1.75 billion take-private of ContourGlobal plc, a global power generation company*
• KKR portfolio company Viridor on its take-private of Quantafuel ASA, an Oslo-listed chemical recycling company*
• EQT’s BPEA Private Equity Fund VIII on its £2.1 billion take-private of Keywords Studios plc, a leading technical and creative services provider for the global video game industry*
• Stonepeak on its €2.1 billion continuation fund recapitalisation of euNetworks, a leading European provider of high-capacity fibre infrastructure*
• Silver Lake portfolio company Software AG on the carve-out and sale of its Cumulocity business to Avedon Capital Partners*
• J.P. Morgan Infrastructure Investments Fund on the sale of minority interests in the ports of Bilbao and Valencia to CMA CGM*
• Melrose Industries plc on the demerger of its GKN Automotive, GKN Power Metallurgy and GKN Hydrogen businesses into Dowlais Group plc*
• Various private equity sponsors and portfolio companies on the structuring and implementation of management equity plans across multiple jurisdictions.
