Milbank Antitrust Team Represents Houghton Mifflin Harcourt in the Sale of Its Books & Media Consumer Publishing Business to HarperCollins

The Milbank LLP antitrust team represented Houghton Mifflin Harcourt (“HMH”), a leading publisher and K-12 learning technology company, in the $349 million cash sale of its Books & Media Consumer Publishing Business to HarperCollins Publishers. The transaction, which was announced on March 29, 2021, and closed on May 10, 2021, will allow HMH to pursue its strategic goal of becoming a pure-play K-12 learning technology company while improving its capital structure and advancing its growth in digital sales.

Through Milbank’s proactive advocacy, HMH was able to complete the HSR review process expeditiously and close the transaction without an extended review.
