Responsibilities:

  • Provide legal counsel related to multi-party financing transactions for energy, mining, transport, and infrastructure projects. 
  • Draft, negotiate, and review financing documents, including term sheets, credit agreements, note purchase agreements, security documents, equity contribution agreements, direct agreements, depositary agreements, intercreditor agreements, commitment papers, and corporate documents.
  • Prepare legal opinions in connection with financings, private placements, and security interests.
  • Conduct due-diligence and bankability reviews of power purchase, engineering, procurement, construction, operation, maintenance, and equipment supply agreements.
  • Organize closing processes for multi-party financing transactions.

Position Requirements:

  • JD, Master of Laws or foreign equivalent
  • Three (3) years of experience in the offered position or a related occupation

Salary Range: $435,000.00 per year

One (1) year of experience must include:

  • Advising on finance transactions, including construction, bridge, and mid-term and long-term debt financings.
  • Preparing financing documents, including term sheets, credit agreements, note purchase agreements, security documents, equity contribution agreements, direct agreements, depositary agreements, intercreditor agreements, and commitment papers.
  • Preparing corporate documents, including LLC agreements, resolutions, and officer certificates.
  • Conducting due diligence and bankability reviews for power purchase, engineering, procurement, construction, operation, maintenance, and equipment supply agreements.
  • Preparing legal opinions in connection with financings, private placements, and security interests.
