Alan Stone is a partner in the Litigation Department of Milbank, Tweed, Hadley & McCloy LLP and the Practice Group Leader of the Firm’s Global Litigation Department.

Mr. Stone’s practice focuses on corporate and business litigation, including proxy contests, mergers and acquisitions, consent solicitations, complex valuation disputes and “interested party” transactions.  In addition, he advises corporate boards of directors and special committees with respect to transactional and litigation issues.

A prominent figure in the Delaware legal community for more than 20 years, Mr. Stone is cited as a “Real Star” in the Delaware Chancery bar by Chambers USA 2006 and is listed in The Best Lawyers in America 2008 and 2009.

Mr. Stone has represented directors, officers and corporate entities in actions challenging their exercise of fiduciary duties in the context of mergers, going private transactions and other transactions involving controlling or majority stockholders, as well as in derivative litigation.  He has also advised and represented in litigation both acquirers and targets in hostile acquisitions.  Similarly, he has represented both companies and insurgents in proxy contests and litigation arising from proxy contests and other contests for corporate control.  Representing clients across a broad range of industries, Mr. Stone has led more than thirty
first-chair trials and major matters over the past ten years.

Among the notable matters that Mr. Stone has handled are:

        Trials and Preliminary Injunctions

  • ABI v. MetroMail – Successfully fought off a Motion for a Preliminary Injunction arising from the takeover battle for MetroMail.

  • Sabre/Travelocity – Trial of a complicated statutory appraisal valuation claim.

  • David Friedman – Represented casino developer in dispute with former business partner over the rights to build casino in Macau. Defeated motion for preliminary injunction.

  • Pilgrims Pride – Advised board and management of Pilgrim’s Pride in their successful hostile takeover of Gold Kist, Inc.

        Special Committee Assignments

  • Chartermac – Represented special committee of Delaware business trust in a interested party transaction with The Related Companies.

  • Cargill, Inc./Mosaic – Represented special committee in litigation relating to spin-off transaction.

  • Kaneb Pipeline – Represented special committee in sale of company to Valero.

Mr. Stone is a member of the bars of the State of New York, the Southern District of New York, the State of Delaware, the U.S. District Court for the District of Delaware and the U.S. Court of Appeals for the Third Circuit. He received his B.S.E. in biomedical engineering from Tulane University and his law degree, magna cum laude, from Tulane Law School where he was a senior notes and comments editor of the Tulane Law Review.

Mr. Stone clerked for the Honorable Andrew G.T. Moore II of the Delaware Supreme Court from 1986-1987.
