Working with lawyers from our Global Corporate practice, our Litigation lawyers counsel boards of directors, CEOs, other officers and other clients how best to position themselves to optimize their defense in corporate litigation. Using our deep experience in the Delaware Court of Chancery and numerous other tribunals, we counsel clients on the structure and process of transactions to help them avoid common pitfalls and to make certain that they go into court with a robust record of their diligent consideration of any decision or transaction.
Broad Experience
The breadth of our experience in corporate litigation ranges from the typical shareholder class action litigation to representing directors or companies in derivative litigation, proxy contests and related litigation, as well as litigation over the meaning of the terms of agreements governing a transaction. We also have significant expertise relating to alternative entities, such as partnerships, LLCs and business trusts. In addition, we have acted as independent counsel to special committees investigating derivative demands, as well as to Special Litigation Committees.

One of the hallmarks of the Litigation group at Milbank is its wealth of trial experience, and our experience in corporate litigation is no different. Among the notable successes in the past few years are the successful representation of a private equity firm in a dispute over the terms of a merger agreement; the successful defense of a purchaser of a hotel company in a trial challenging the transaction; and a trial of a derivative action challenging the merger of two copper companies. Of course, avoiding trial through dismissal or a successful resolution is our first priority, but Milbank trial lawyers have the experience and skills to see a case through to the end if necessary.
