Project Finance

Blazing The Trail That Others Follow.

From a first-of-its-kind toll road in Latin America, to a wireless telecom build-out in Southeast Asia to the largest wind and solar farms in the world, clients recognize our Project Finance Group as the leading choice for the financing and development of the most critical and pioneering infrastructure projects across the globe.  Over the past three years, Milbank has closed more than 140 project financings, which raised more than $125 billion for infrastructure projects worldwide.

Our Project Finance Group comprises more than 100 dedicated Project Finance attorneys, including 20 partners, in our offices worldwide. We operate on an integrated basis with project finance teams in each of our offices in the US, São Paulo, London, Frankfurt, Singapore, Hong Kong and Tokyo.

We were among the first international law firms to form a dedicated Project Finance Group over three decades ago, and since then we have pioneered the application of limited-recourse project finance techniques internationally. With one of the largest and most experienced project finance teams of any major law firm, we represent the full spectrum of project participants, including lenders, underwriters, sponsors, project joint ventures, contractors, government agencies and multilateral institutions.

Unparalleled Industry Experience

As evidence of our continuing prominence in the international project finance field, Chambers Global, Chambers USA and Chambers UK each rank us in the top tier of law firms for project finance. We have recently been designated as the Global Project Finance Team of the Year by Project Finance International and have twice in recent years been recognized as the Global Project Finance Team of the Year by each of Chambers Global and Who’s Who Legal. Four of our partners, the most among any law firm, were recently designated as among the world’s top 25 projects lawyers by Euromoney’s Legal Experts guide. We regularly act on global, regional and industry-specific Deals of the Year. Our lawyers were asked both to edit and contribute to Oxford University Press’s International Project Finance – Law and Practice, which is widely viewed as one of the leading practitioners’ guides in the field.

We combine strong legal skills with deep industry knowledge. We are regularly engaged in projects in diverse industries, including the following:

  • Oil and Gas – including exploration, production, storage, refining, gasification and production platforms
  • Petrochemicals
  • Power and Energy – including thermal, nuclear and renewable, as well as power transmission and distribution
  • Infrastructure and Water – including pipelines and water desalination and treatment
  • Telecommunications – including cellular, cable, fixed and mobile
  • Space and Satellite – including direct broadcast, broadband and satellite imaging systems
  • Waste disposal and recycling
  • Mining and Metals
  • Natural resources
  • Pulp and paper
  • Transportation – including airports, rail, roads and shipping

Our expertise extends to asset disposition, restructuring, portfolio securitization, credit enhancement and political risk mitigation techniques, as well. In order to support this range of products and industries, our group regularly draws upon other lawyers and professionals within the firm who have expertise in fields such as M&A securitization, energy regulation, tax, economics, bankruptcy, litigation, environmental regulation and international trade.

Global Focus

Our Project Finance Group is truly unique in its global focus. The depth of our project development and finance teams enables us to field multiple teams simultaneously to handle the most complex transactions in any region or country. We have full capabilities to execute transactions under New York, California, English or German law, and we maintain close relations with leading independent firms in virtually every other jurisdiction in which projects are undertaken or financed. Many of our lawyers are fluent in multiple languages and are able to conduct negotiations and review documentation in languages other than English.
