Milbank Represents Underwriters in $956 Million EETC Offering by American Airlines

Milbank, Tweed, Hadley & McCloy LLP, led by Global Securities partner Arnold Peinado, Transportation and Space partners Hugh Robertson and Jim Pascale and Global Securities special counsel Kevin MacLeod, acted as US counsel to the underwriters in a public offering of $956 million aggregate face amount of enhanced equipment trust certificates (“EETCs”) by American Airlines, Inc. (“American”).

American sold $741,460,000 aggregate face amount of 3.700% Pass Through Certificates, Series 2014-1A and $215,424,000 aggregate face amount of 4.375% Pass Through Certificates, Series 2014-1B. American will use the proceeds of the certificates for general corporate purposes.

Goldman, Sachs & Co. led a syndicate of ten underwriters that included Credit Suisse, Deutsche Bank Securities, Morgan Stanley, Citigroup, BofA Merrill Lynch, Barclays, BNP Paribas, Crédit Agricole Securities and J.P. Morgan as joint bookrunners.

Transportation and Space partner Helfried Schwarz and associate Niels Jensen represented Crédit Agricole Corporate and Investment Bank, acting through its New York Branch, in its roles as liquidity provider and depositary.
