Milbank Advises D+S europeon Sale of Call Center Division to CMP

D+S europe GmbH, a portfolio company of the Apax Fonds, has sold its call center division to financial investor CMP Capital Management-Partners GmbH. The transaction is retroactive to 1stJanuary 2012. Both parties agreed not to disclose financial terms of the transaction. International law firm Milbank, Tweed, Hadley & McCloy LLP advised D+S europe GmbH with regard to corporate and tax aspects of the transaction.

The call centers of D+S europe GmbH provide leading communication center services in Germany and maintain service centers for value-oriented, multimedia and integrated customer contact management. The call centers’ clients are leading corporations in the sectors telecommunications, media, energy supply, entertainment, financial services and trade. CMP Capital Management-Partners GmbH is a private equity fund investing particularly in several mid-sized distressed companies over the last decade.

D+S europe GmbH was advised on the transaction by a Milbank team led by partner Peter Nussbaum (Corporate/M&A, Munich), who has advised Apax Fonds for several years, including representation in the acquisition of D+S europe AG in 2008.
