The Firm’s Capital Markets Group includes more than 60 lawyers located in New York and its other domestic and foreign offices. The Capital Markets Group draws upon the skills of attorneys in other areas of the Firm, such as tax, real estate, bankruptcy and project finance, as required in particular transactions.
Milbank regularly represents all of the key parties in public offerings and private transactions: issuers, underwriters, placement agents, institutional and individual investors and selling shareholders and those providing credit support through guarantees, surety bonds and letters of credit. Milbank also represents other parties involved in capital markets transactions, such as trustees and fiscal agents, as well as a number of important institutions which play a role in many capital markets transactions, such as the New York Stock Exchange, Inc. and the International Primary Dealers’ Association (IPMA).
Milbank has represented domestic and foreign issuers from a variety of industries, with particular experience in transactions involving electric and gas utilities, telephone and telecommunications companies, banks and finance companies, industrial and manufacturing companies, governmental agencies and instrumentalities, insurance companies and real estate enterprises.
Milbank’s public offering experience ranges from initial public offerings of common stock to “shelf” offerings of debt securities of seasoned issuers. Milbank also has extensive experience representing issuers and underwriters in medium-term note programs and Rule 144A and Regulation S transactions.
