Adam Moses is a senior associate in the Global Corporate Group of Milbank, Tweed, Hadley & McCloy LLP. Mr. Moses focuses his practice on mergers and acquisitions, capital markets transactions, and general corporate representations. He represents companies and private equity firms in connection with acquisitions, divestitures, joint ventures, equity and debt investments, and other extraordinary corporate transactions. His experience includes domestic and cross-border M&A transactions, going-private transactions, proxy contests, and unsolicited bids for corporate control. He also has extensive experience with distressed M&A transactions, restructurings, and recapitalizations.

Mr. Moses’ capital markets practice includes advising both issuers and underwriters on transactions involving debt and equity securities, including Rule 144A / Regulation S offerings of high yield debt, SEC registered offerings, exchange offers, tender offers, and consent solicitations. His experience encompasses financings in support of leveraged buyouts and other acquisition finance transactions. Mr. Moses also regularly executes liability management transactions and transactions designed to fund development projects.

In addition to his transactional work, Mr. Moses advises the management and boards of directors of public and private companies with respect to general corporate matters, including governance, takeover preparedness, fiduciary duty questions and compliance with the federal securities laws.

Mr. Moses holds a J.D. from Stanford Law School, where he served as an editor of the Stanford Law and Policy Review. He received a B.A. in Political Science from Yeshiva University, graduating summa cum laude and with departmental honors. Mr. Moses is a member of the State Bar of California.
