Thomas Kleinheisterkamp is an associate in the Munich office of Milbank, Tweed, Hadley & McCloy LLP and part of the team founding this office in 2004. He is accredited as tax advisor. His practice areas comprise all aspects of national and international tax law and related corporate law aspects. In particular, Thomas Kleinheisterkamp specializes in transactional tax advice and corporate tax law including the tax aspects of corporate restructurings. Furthermore, he advises both lenders and borrowers in all tax-related areas of acquisition and corporate finance and financial institutions on tax aspects relating to a broad range of financial products like warrants and certificates.

  • SULO GmbH on the acquisition of Cleanaway Deutschland Group and of Henning Group.
  • DZ Equity Partner on the acquisition of Wessel-Werk Group.
  • The Carlyle Group and Advent International on the sale of HT Troplast AG to Arcapita.
  • The Carlyle Group on the sale of Honsel International Technologies to Ripplewood, Inc.
  • The Carlyle Group on the sale of its participation in listed BERU AG to BorgWarner, Inc.
  • Advent International and The Carlyle Group on the joint acquisition of H.C. Starck Group from Bayer AG.
  • Apax and Blackstone on the acquisition of SULO Group and its subsequent sale to Veolia Environnement.
  • 3i on the acquisition and the subsequent reorganization of betapharm Arzneimittel GmbH.
  • Caterpillar, Inc. on ongoing tax and corporate law matters regarding the German subsidiaries of the group.
  • HVB Capital Partners AG on their co-investments.

Thomas Kleinheisterkamp studied law and economics (Wirtschaftsjurist, Univ. Bayreuth) at the University of Bayreuth, where he also obtained a doctorate degree (Dr. jur.). Before joining Milbank, Thomas Kleinheisterkamp worked as a full-time research assistant at the University of Bayreuth and was a tax associate at a major international law firm in Munich. He authored, inter alia, the annotation regarding Sec. 10a GewStG (German Trade Tax Act) in the commentary by Lenski/Steinberg.

Thomas Kleinheisterkamp is admitted to the German bar and accredited as tax advisor in Germany. He speaks German and English.
