Chen Bao is an associate in Milbank’s Beijing office and a member of the Global Securities Group. His practice focuses on private equity and venture capital financing, capital markets, cross-border mergers and acquisitions and general corporate & commercial. Chen also has arbitration experience at the China International Economic and Trade Arbitration Commission (CIETAC).

His recent representations include advising:

  • A leading Chinese photovoltaic cell manufacturer for its US$15 million private equity financing.

  • A leading Chinese PPS resin manufacturer in its Series A and B private equity financings with a total amount of US$90 million.

  • A leading US investment bank in its US$ 27 million investment in a Shenzhen based pharmaceutical company.

  • CVCI and other private equity investors in connection with their disposition of shares in a NASDAQ listed solar cell manufacturer to an existing strategic investor of the company in a Reg S transaction.

  • A major UK pharmaceutical distributor in relation to its acquisition of a Guangzhou based Chinese pharmaceutical distributor.

  • A U.K. company on the sale of its equity interest in a chemical joint venture company to a U.S. company.

  • A major European automobile manufacturer and distributor on its proposed acquisition of a Beijing based automobile dealer and service center.

  • A major US financial service company in relation to its proposed acquisition of a Zhejiang based software company.

  • A major European company in relation to its proposed acquisition of a China state-owned compressor manufacturer located in Shaanxi.

  • A major European electric company in relation to the setting up of a joint venture with a Shaanxi-based Chinese company in the power transmission and distribution sector.

Before joining Milbank, Chen was an associate for Baker & McKenzie in Hong Kong and Shanghai. He is fluent in English and Mandarin.

Chen qualified as a Chinese lawyer in 1998 and is admitted to the New York State Bar in May 2005.

He received his LLB (Hons) from the University of International Business & Economics in Beijing and his J.D. (Chancellor Scholar and Magna Cum Laude) from Seton Hall University, School of Law.
