Stacey J. Rappaport is a partner in the New York office of Milbank, Tweed, Hadley & McCloy and a member of the firm’s Litigation & Arbitration Group. She has been a partner since 2004 and serves as the Chair of Milbank’s Women’s Initiative Committee. She joined the firm in 1996.
Primary Focus & Experience
Ms. Rappaport represents major financial institutions and corporations and high net worth individuals in disputes arising from complex financial transactions in courts throughout the United States.
Some of her notable representations include:
- Representation of the Official Committee of Unsecured Creditors of Lehman Brothers Holdings, Inc. in litigations concerning derivatives and other complex financial instruments.
- Representation of Citibank and affiliates in litigation relating to lending and financing agreements with Adelphia Communications Corporation affiliates.
- Won summary judgment on behalf of closed-end fund Neuberger Berman Real Estate Income Fund in novel hostile takeover litigation concerning the Investment Company Act of 1940 and anti-takeover defenses.
- Representation of UBS affiliate in shareholder class action concerning its investment in the Philadelphia Stock Exchange.

Won landmark ruling for Montana Power affiliate in acquisition-related litigation concerning a stock purchase agreement.
Recognition & Accomplishments
Ms. Rappaport serves on the Board of Directors of Lincoln Square Legal Services, Inc., which operates Fordham University School of Law’s clinical program. In May 2010, she completed her second term as a member of the Board of Directors of the New York County Lawyers’ Association. She is a member of the Committee on Women in the Profession of the Association of the Bar of the City of New York where she co-chairs the Women Partners Subcommittee. She was also an adjunct associate professor of law at Fordham University where she taught client interviewing, counseling and negotiation skills to second- and third-year law students. She graduated from Fordham Law School cum laude and is a member of the Order of the Coif.
