Paul Wessel is a partner in the New York office of Milbank, Tweed, Hadley & McCloy and head of the firm’s Executive Compensation and Employee Benefits Group. Mr. Wessel joined Milbank as a partner in 2007 and is a member of the firm’s Tax Group.
Primary Focus & Experience
Mr. Wessel’s practice includes all aspects of employee compensation and benefits law. He regularly represents clients on these matters in complex corporate transactions and financial restructurings.
Mr. Wessel has represented numerous financial institutions, public and privately held companies, boards of directors and compensation committees, corporate executives and management groups, creditors’ committees and employee benefit plan trustees. He advises the firm’s corporate clients in mergers and acquisitions, bankruptcies and financial restructurings, stock offerings, debt financings and other corporate transactions. His focus in compensation matters includes equity and incentive compensation plans, qualified and nonqualified pension plans, and employment, severance and change in control agreements. Mr. Wessel also represents clients in connection with ERISA fiduciary matters and in civil litigation involving executive compensation and employee benefits.
Recognition & Accomplishments
Mr. Wessel serves as the Chairman of the Executive Compensation Subcommittee for the ABA Business Law Section. He is a frequent speaker on executive compensation matters for the ABA, PLI, BNA and the Conference Board, and has been published and quoted in the media on current issues in the area. Mr. Wessel has been regularly named as a leading lawyer in employee benefits and executive compensation law in Chambers USA and other legal rankings.
