Ken Baronsky is managing partner in the Los Angeles office of Milbank, Tweed, Hadley & McCloy and head of the firm’s Corporate practice in Los Angeles. He joined the firm in 1988 and has been a partner since 1996.
Primary Focus & Experience
Mr. Baronsky is a corporate and securities lawyer, with a particular focus on transactions in the gaming industry . He represents public and privately-held companies, investment banks, hedge funds and private equity funds in public offerings, private financings, mergers and acquisitions, buyouts, and other complex transactions. Mr. Baronsky has extensive experience handling distressed situations, including out-of-court financial restructurings and the corporate aspects of bankruptcies.
His recent representations include advising:
- a major gaming company on the restructuring of over $6 billion of debt and emergence from bankruptcy
- a gaming and hospitality management company in the formation of an international investment fund
- a prominent sports promotion company in the sale of a minority interest to a sovereign wealth fund
- a Native American tribe on construction financing for a casino in Michigan
the majority controlling owner of a major international casino company in a series of debt and equity investments in the company totaling $1 billion, as part of an overall equity recapitalization of the company totaling more than $2.5 billion.
