Sam Badawi is an associate in the New York office of Milbank, Tweed, Hadley & McCloy and a member of the firm’s Securities Group.

Primary Focus & Experience

Mr. Badawi specializes in the representation of financial institutions and issuers in connection with international and domestic issuances of debt and equity securities, including initial public offerings, Rule 144A/Regulation S securities and investment grade and high-yield debt securities, as well as providing advice to issuers regarding disclosure issues, general corporate matters and Sarbanes-Oxley compliance.  Mr. Badawi’s industry experience includes telecommunications, energy, farming, and REITs.

His recent experience includes representation of:

  • Adecoagro S.A. in its SEC-registered NYSE-listed initial public offering
  • The underwriters in Medco Health Solutions, Inc.’s $1 billion SEC-registered note offering
  • The Government of Bermuda in its $500 million Rule 144A/Regulation S note offering
  • Alestra, S. de R.L. de C.V. in its Rule 144A/Regulation S note offering and concurrent tender offer
  • The underwriters and initial purchasers in ITC Holdings Corp.’s concurrent SEC-registered equity offering and Rule 144A/Regulation S debt offering

Recognition & Accomplishments

Mr. Badawi earned his J.D., cum laude, from University of Michigan Law School. He received undergraduate degrees in Biological Sciences, magna cum laude, Health Sciences and Pharmacy, cum laude, from Wayne State University in Michigan. Mr. Badawi is fluent in Arabic.
