Frank Vivero is an of counsel member of Milbank’s Global Securities Department with a broad financial and corporate practice, including the areas of public and private securities offerings and corporate governance. He has advised businesses and international investment banks in significant transactions in Asia and Latin America and elsewhere. Mr. Vivero is currently based at the firm's New York office.
Primary Focus & Experience
Mr. Vivero has broad experience representing issuers and investment banks in connection with the issuance of a wide variety of debt and equity securities in the international capital markets. Mr. Vivero's securities experience includes offerings of investment grade and high-yield notes, hybrid capital securities, common and preferred stock and American Depository Receipts involving companies from a wide variety of industries, including agricultural, retail, technology and telecommunications. These offerings have included SEC registered initial public offerings, subsequent primary and secondary offerings and Rule 144A/Regulation S offerings coupled with registration rights. Mr. Vivero has also represented issuers in liability management transactions, including consent solicitation and exchange offers.

Mr. Vivero has been cited on Legal 500 in 2010 as member of one of the top international capital markets legal teams. He has authored articles published in Insights: The Corporate and Securities Law Advisor and BNA’s Alternative Investment Law Report.
