Edward Sun (孙伟清) is a partner in the Beijing office of Milbank, Tweed, Hadley & McCloy and a member of the firm’s Securities Group. Mr. Sun is a US-trained attorney who began practicing law in New York in 1995. He has been based in the Asian region since with broad experience in corporate and financing transactions in China and the Asian markets generally. Prior to joining Milbank in 2002, Ed was the general counsel for Asia for Goldman Sachs private equity.
Primary Focus & Experience
Mr. Sun primarily focuses on cross-border M&A and private equity deals, but also regularly works on IPOs and other securities offerings from China. In the private equity area, he has regularly represented Baring Private Equity, Citigroup (CVCI), Citadel, EQT, Goldman Sachs and J.P. Morgan in growth stage, buy-out, pre-IPO, PIPE and other private equity transactions in China. He was also the senior attorney on the Milbank team that represented China Construction Bank (CCB) in the acquisition by Bank of America of a $10 billion equity stake in CCB, the single largest foreign investment in China’s history. He recently advised China’s biggest aviation company China Aviation Industry Corporation (AVIC) in its international arm’s US$186 million acquisition of Teledyne Continental Motors and Teledyne Mattituck Services in the first successful PRC acquisition in the US aviation manufacturing industry.
Mr. Sun’s capital markets work includes representing Morgan Stanley and Citigroup in connection with the IPO of Tom Online, which was the first ever dual listing on Nasdaq and Hong Kong GEM, and representing Mandra Forestry, a PRC forestry company, in a complex high-yield bond offering that in 2006 earned ALB’s China Debt Market Deal-of-the-Year Award. He also has expertise in distressed debt and has advised on a number of NPL deals in China, Thailand and Indonesia.
