Dieter Yih (葉禮德) joined Milbank, Tweed, Hadley & McCloy as a partner in 2011 and heads up the firm’s Hong Kong law practice. Dieter specialises in advising on capital markets, corporate finance and mergers and acquisitions in Hong Kong, mainland China and across the Asian region.
Primary Focus & Experience
Mr. Yih has been responsible for numerous Hong Kong and China IPOs and also has extensive experience in corporate restructuring and public company takeovers. In addition, he frequently advises multinational and Hong Kong corporations on direct investments, joint ventures and regulatory compliance.
Dieter is qualified under English and Hong Kong law, and is cited as a leading lawyer by Chambers Asia, Asia Pacific Legal 500 and other major legal publications.
Previously, Dieter was a partner of the Hong Kong Corporate/M&A practice at a leading Australian firm.
Dieter graduated from King’s College London in 1985 and was made a Fellow of King’s College in 2009. Dieter is a native speaker, reader and writer of Cantonese and Mandarin.

- Mongolian Mining Corporation in its US$650 million global offering and IPO on the Hong Kong Stock Exchange sponsored by Citigroup and JP Morgan.
- Credit Suisse, Somerley, BOCI Asia and Macquarie Capital as joint sponsors and/or underwriters on Lumena Resources US$250 million global offering and IPO on the Hong Kong Stock Exchange.
- Real Gold Mining in its US$230 million global offering and IPO on the Hong Kong Stock Exchange sponsored by Citigroup and Macquarie Capital.
- Sichuan Xinhua Winshare Chainstore in its global offering of H-Shares and IPO on the Hong Kong Stock Exchange sponsored by BOC International.
- Issuers and arrangers in several ECM and DCM transactions, including acting for BOCI Asia and Deutsche Bank in an innovative hybrid issue of senior notes for US$400 million with detachable warrants by Neo-China Group, acting for BOCI Asia in a placing of shares and warrants of about HKUS$460 million by EPI (Holdings), and for Deutsche Bank in an issue of HKUS$78 million convertible floating rate notes and warrants in U-Right International Holdings.
Mergers and Acquisition
- Controlling shareholder of Neo-China Land Group in the sale of a controlling stake to Shanghai Industrial Holdings for US$150 million, subscription of new shares for US$205 million, purchase of a project company for US$322 million, and mandatory general offer for Neo-China Land Group for US$432 million.
- Kingboard Chemical in the HK3.3 billion takeovers of Elec & Eltek International Holdings in Hong Kong and its subsidiary in Singapore.
- Asia Financial Holdings in a HKUS$2.4 billion general offer bid and in the financing for the general offer.
- K. Wah International Holdings in the USD2.36 billion acquisition by its subsidiary of the Galaxy Casino, which is the holder of one of the only three gaming casino concessions granted by the Macau Government.
Recognition & Accomplishments
Mr. Yih has served on the board of directors of several listed companies in Hong Kong and is a prominent member of numerous civic organizations. He is the Vice-President of the Law Society of Hong Kong and chairs its Standing Committee on Standards and Development and the Legal Education Committee. He is also a member of the Law Society's Consents Committee, Securities Law Committee and Trainee Solicitors Committee. Dieter has been appointed by the Hong Kong government as a member of the Standing Committee on Legal Education and Training and Investigation Panel A of the Hong Kong Institute of Certified Public Accountants. He is Chairman of the King’s College London (Hong Kong) Foundation, a charitable foundation.
