David Schwartz is an of counsel in the New York office of Milbank, Tweed, Hadley & McCloy and a member of the firm's Corporate Group.
Primary Focus & Experience
Mr. Schwartz, of counsel since 2011, has extensive experience in all aspects of Milbank's corporate and securities law practices, including both mergers and acquisitions and capital markets transactions, and frequently counsels corporate clients on their obligations under the US federal securities laws. His practice is primarily focused on three segments:
- Public company mergers, including both hostile and negotiated transactions, corporate defense advice, proxy contests and private stock and asset acquisitions and divestitures;
- Representation of private equity sponsors and their portfolio companies in a broad range of merger and acquisition activities; and

Advice to public corporations and others regarding complex rules, regulations and listing requirements that have been promulgated as a result of the enactment of the Sarbanes-Oxley Act of 2002.
Mr. Schwartz's recent representations include advising clients in the energy, gaming, media, automotive, electronics, technology outsourcing, chemicals, securities exchange, financial services, and professional services industries.
Recognition & Accomplishments
In addition to his corporate practice, Mr. Schwartz is an integral part of Milbank's Corporate Governance Group, which produces Client Alerts on current developments in corporate and securities law. He has also published numerous articles on such matters in various trade publications and on websites.
Mr. Schwartz is a member of the New York State Bar Association and the American Bar Association.
